TERMS & AGREEMENT

 

1. Program Description.

ChooseHER is a life and personal coaching program developed and delivered by Service Provider, designed for mid-career women navigating purposeful or unexpected life and career transitions. The program supports participants in building self-awareness, clarity, and intentional direction — whether they are actively seeking change or responding to circumstances such as job loss, career shifts, or major life transitions.

The program incorporates Human Design principles, certified and licensed by Service Provider through Julie Ciardi’s Ignite Her Brand certification program, and is integrated with Service Provider’s proprietary coaching frameworks and methodology. It is structured as a collective — a community-based, cohort-driven experience where participants move through the program together.

The program is delivered through the Kajabi platform on a twelve (12) month subscription. The Subscription Period begins with a six (6) month cohort experience, followed by six (6) months of continued access to the ChooseHER™ Collective. The cohort is a closed group with a defined start date, end date, and cohort-specific community of participants.

2. Scope of Services and Deliverables.

During each active subscription period, the Client will receive access to the following services and deliverables (collectively, “Services”): 

  • Weekly Live Workshops. Service Provider will facilitate weekly live group coaching workshops for all active cohort members, conducted virtually. Workshops will be recorded and made available to cohort members via the Kajabi platform within a reasonable time following each live session. Missed sessions are not refundable or rescheduled on an individual basis.
  • Recorded Session Library. Clients will have on-demand access to recorded coaching sessions and curriculum content hosted on the Kajabi platform throughout their active subscription period. Access is limited to the Client’s individual use and does not extend beyond the subscription term unless extended in writing by Service Provider.
  • Downloadable Handouts and Worksheets. Clients will receive access to proprietary worksheets, exercises, frameworks, and reference materials (“Handouts”) developed by Service Provider as part of the ChooseHER curriculum. Handouts are for the Client’s personal development use only and may not be reproduced, distributed, resold, or shared with any third party.
  • Community Access. Clients will be granted access to the ChooseHER private community platform for peer connection and cohort engagement during their active subscription period. Community access is subject to ChooseHER’s Community Guidelines. Service Provider reserves the right to remove any participant from the community for violations of Community Guidelines without refund.
  • Private Podcast Feed. Clients will receive access to a private, members-only podcast feed hosted through the Kajabi platform. Podcast episodes are supplemental coaching content produced by Service Provider and released on a schedule determined by Service Provider. Episodes are for the Client’s personal use only and may not be shared, downloaded for distribution, or reproduced in any format.
  • Email and Community Support. Service Provider or a designated ChooseHER team member will provide program-related support via the community platform or designated email channel within two (2) to three (3) business days. Support is limited to questions related to program content and participation and does not include individualized one-on-one coaching sessions unless separately purchased. 

 3. Program Term and Subscription.

  • Subscription Structure. The program operates on a year-long subscription structured into two six-month cycles. Clients have full content access — including recorded sessions, Handouts, podcast episodes, and the session library — for the full twelve-month subscription term. The Client’s subscription and cohort placement are confirmed upon execution of this Agreement and receipt of first payment.
  • Subscription Period. The “Subscription Period” means the twelve (12) month term commencing on the Client’s cohort start date, comprised of: (i) a six (6) month Cohort Period; followed immediately by (ii) a six (6) month Collective Access Period providing continued access to the ChooseHER™ Collective.
  • Expiration of Subscription Period. The Subscription Period expires automatically after twelve (12) months without further notice. Upon expiration: (1) the Client’s access to the Kajabi platform, community, private podcast feed, recorded session library, and all program materials will be deactivated; (2) ChooseHER has no obligation to provide further Services unless the Client enrolls in a subsequent cohort under a new Agreement; and (3) any outstanding payment plan installments remain due and payable in full notwithstanding expiration. The Subscription Period does not automatically renew. If the Client wishes to continue participating in the ChooseHER program, the Client must re-enroll under a new Agreement for the applicable cohort.
  • Cancellation and Offboarding. The Client may cancel their subscription at any time by providing written notice to Service Provider at the email address set forth in this Agreement. Cancellation takes effect at the end of the then-current billing period. ChooseHER does not offer prorated refunds for partial subscription periods. Upon cancellation: (1) the Client’s access to the Kajabi platform, community, podcast feed, and all program materials will be deactivated at the end of the final paid period; (2) downloaded Handouts previously accessed by the Client may be retained for personal use only, subject to the IP restrictions in Section 6 and the Base Terms; and (3) any outstanding payment plan installments remain due and payable regardless of cancellation.

 4. Fees and Payment.

 

  • Program Investment.

  • Founding Member Pricing. The fees above reflect founding member rates applicable to the initial cohort only. ChooseHER reserves the right to adjust program pricing for future cohorts at its sole discretion. Fees applicable to any subsequent enrollment will be set forth in a new Agreement at the time of re-enrollment.
  • Payment Authorization. By enrolling, the Client authorizes ChooseHER to charge the payment method on file according to the schedule above. It is the Client’s responsibility to maintain a valid payment method on file. Payments are accepted via the method selected at enrollment.
  • Failed Payments. If a scheduled payment fails, ChooseHER will attempt to notify the Client. Access to program materials and the community platform may be suspended if payment is not received within five (5) business days of the due date. Repeated failed payments may result in removal from the cohort at ChooseHER’s discretion, with remaining installments still owed.
  • Refund Policy. All sales are final once a cohort has commenced. If a Client requests cancellation before the cohort start date:

 

      1. Cancellation more than fourteen (14) days before cohort start entitles the Client to a full refund less any applicable processing fees;
      2. Cancellation within fourteen (14) days of cohort start entitles the Client to a fifty percent (50%) refund; and
      3. Cancellation on or after the cohort start date entitles the Client to no refund, and remaining installments remain due.

 

  • 1:1 Coaching Add-On. ChooseHER offers individualized one-on-one coaching as an optional add-on service, separate from the program subscription. The 1:1 Coaching Add-On consists of six (6) private coaching sessions delivered over a three (3) month period. The fee is $3,000, payable in full at the time of purchase. The 1:1 Coaching Add-On is subject to availability and must be separately purchased and confirmed in writing by ChooseHER. Sessions are non-transferable, non-refundable once commenced, and must be used within the three (3) month engagement period. Unused sessions that are not scheduled within the engagement period will be forfeited without refund.

5. Media Release and Recordings. 

  • Public Use — Opt-In Required. ChooseHER will not use the Client’s image, voice, or likeness (“Likeness”) in external promotional or marketing materials that identify the Client by name without the Client’s separate written consent. All other recording and licensing terms are governed by Section 18 of the Base Terms.
  • Feedback and Testimonials. If the Client provides testimonials, written feedback, or comments regarding the program, ChooseHER may use such content in anonymized form without compensation. Identified use of testimonials in marketing materials requires the Client’s separate written consent.

 6. Intellectual Property.

  • ChooseHER Ownership. All program content, curriculum, Handouts, worksheets, frameworks, coaching methodologies, recorded sessions, podcast episodes, and any other materials created or provided by ChooseHER (“Program Content”) are and remain the sole intellectual property of ChooseHER, LLC. No sale, transfer, or assignment of any IP rights is made to the Client by virtue of enrollment in the program.
  • Client’s License. Client is granted a limited, personal, non-transferable, nonsublicensable license to access and use Program Content solely for their own personal development during the active subscription period. Client may not:

 

      1. copy, reproduce, or distribute Program Content in any format;
      2. share login credentials, session recordings, or Handouts with any third party;
      3. use Program Content to develop, deliver, or sell competing coaching programs or services;
      4. publicly post or share recordings of live sessions, whether in whole or in part; or
      5. use Human Design frameworks or other licensed elements from the program outside of personal use without a separate license.

 

  • Human Design Licensed Content. Certain program content incorporates Human Design concepts licensed by Service Provider through her certification with Julie Ciardi’s Ignite Her Brand program. Client’s access to this content is strictly limited to personal use within the Services. Client may not independently certify, teach, or distribute Human Design content accessed through the ChooseHER program without obtaining their own separate certification and license.
  • Platform Content. All Program Content hosted on the Kajabi platform remains the property of ChooseHER. Client access to the Kajabi platform is subject to Kajabi’s end-user terms in addition to this Agreement.

 7. Client Responsibilities.

The Client agrees to: (1) maintain a valid payment method and ensure payments are processed on schedule; (2) engage in the program with honesty, openness, and respect for other cohort members; (3) comply with ChooseHER’s Community Guidelines at all times; (4) take personal responsibility for their own decisions, actions, and outcomes arising from participation in the program; (5) protect their login credentials and not share platform access with any third party; and (6) notify ChooseHER promptly of any technical issues affecting their access to program materials.

Acknowledgment. The Client understands that coaching results depend on the Client’s own effort, engagement, and commitment. ChooseHER does not guarantee specific personal, professional, or financial outcomes from participation in the program.

8. Community Guidelines and Code of Conduct.

By enrolling, the Client agrees to: (1) treat all cohort members, guests, and ChooseHER staff with respect and kindness; (2) maintain confidentiality of what other cohort members share in the community and in live sessions; (3) refrain from soliciting, promoting, or selling products or services to other cohort members without ChooseHER’s express written consent; (4) refrain from recording live sessions independently without ChooseHER’s written permission; and (5) refrain from any conduct that is discriminatory, harassing, threatening, or harmful to other participants.

Violations of the Code of Conduct may result in removal from the cohort and termination of access to the program without refund, at ChooseHER’s sole discretion.

9. Program Modifications.

Service Provider reserves the right to modify, update, or adjust program content, curriculum, schedule, platform, delivery format, or community features at any time in her reasonable discretion, including in response to cohort feedback or operational needs. Material changes that significantly reduce the scope of Services will be communicated to active participants with reasonable notice. Minor adjustments and curriculum improvements do not constitute a breach of this Agreement.

10. Base Terms.

This Agreement incorporates by reference the ChooseHER Client Services Base Terms, which govern the relationship between ChooseHER, LLC and the Client and are binding upon enrollment.
